For the purposes of this agreement:

Shopperish.com refers to Gareth Oakley T/A Shopperish.com

User refers to any entity using services provided by Shopperish.com

This agreement represents the complete agreement and understandings between Shopperish.com and its users. This agreement supersedes all other written and oral agreements. The Terms and Conditions ("T&Cs") may be modified by Shopperish.com by notice published on-line at www.shopperish.com

By using Shopperish.com the User accepts the terms and conditions set forth in this agreement.

Shopperish.com operates a price comparison service available at www.shopperish.com - Uses may use this service to help find products from merchants available in the Shopperish.com system through any means made available by Shopperish.com.

Shopperish.com makes a good faith attempt to keep product information available through its services up to date, although sometimes information on our site may not be correct. Users accept that information may not be up to date and that users will check pricing data with merchants before completing a purchase. Users therefore agree not to take legal action against Shopperish.com for supplying incorrect information.

Shopperish.com uses the services of Google to track users and generate reports of usage of Shopperish.com owned services. Users agree to being tracked by the Google Analytics service.

You agree to indemnify, hold harmless and defend Google and its wholly owned subsidiaries, at Your expense, any and all third-party claims, actions, proceedings and suits brought against Shopperish.com or any of its officers, directors, employees, agents or affiliates, and all related liabilities, damages, settlements, penalties, fines, costs or expenses (including, without limitation, reasonable lawyers' fees and other litigation expenses) incurred by Shopperish.com or any of its officers, directors, employees, agents or affiliates, arising out of or relating to (i) Your breach of any term or condition of this Agreement, (ii) Your use of the Service, (iii) Your violations of applicable laws, rules or regulations in connection with the Service, or (iv) Your Brand Features. In such a case, Shopperish.com will provide You with written notice of such claim, suit or action. You shall cooperate as fully as reasonably required in the defence of any claim. Shopperish.com reserves the right, at its own expense, to assume the exclusive defence and control of any matter subject to indemnification by you.

These Terms and Conditions of Use and Service are subject to and are entered into subject to the laws of England and Wales. In the event that any portion of these Terms and Conditions is held to be unenforceable, the unenforceable portion shall be construed in accordance with applicable law as nearly as possible to reflect the original intentions of the parties and the remainder of the provisions shall remain in full force and effect, and all provisions of these Terms and Conditions which operate to protect the rights of Shopperish.com shall continue in force even in the event of termination of these Terms and Conditions on other grounds. Shopperish.com's failure to insist upon or enforce strict performance of these Terms and Conditions shall not be construed as a waiver of any provision or right. Neither the course of conduct between parties nor trade practice shall act to modify any provision of these Terms and Conditions.
